ROLLER Instant CashOut Terms

These ROLLER Instant CashOut Terms (the “CashOut Terms”) constitute Supplemental Terms under the ROLLER Master Terms and apply to Customer’s use of the Instant CashOut feature, made available within ROLLER Venue Manager as part of the RPP Services. These CashOut Terms are incorporated by reference into, and form part of, the ROLLER Payment Processing Terms of Service located at https://www.roller.software/rpp-terms (the “RPP Terms”) and the ROLLER Master Terms. Defined terms that are capitalized in these CashOut Terms and not defined herein have the meaning given to them in the RPP Terms or the ROLLER Master Terms, as applicable.
With respect to Instant CashOuts, Customer and ROLLER agree as follows:

- 1.0 The Instant CashOuts Feature
- 1.1 Overview. Instant CashOuts is a feature of the RPP Services that allows Customer to request early access to a portion of Customer’s Transaction Funds before those funds would otherwise be made available to Customer under the timelines described in Section 3.1 of the RPP Terms (each such request, an “Instant CashOut Request,” and each amount disbursed in response to an Instant CashOut Request, an “Instant CashOut Payout,” together, “Instant CashOuts”). Transaction Funds derived from a transaction processed using a direct debit payment method, including ACH Direct Debit and SEPA Direct Debit, are not eligible for an Instant CashOut Payout. Customer accesses Instant CashOuts, and submits Instant CashOut Requests, within ROLLER Venue Manager.
- 1.2 Nature of Instant CashOuts. Instant CashOuts is not a loan, line of credit, or other extension of credit to Customer. When Customer receives an Instant CashOut Payout, ROLLER, or Adyen on ROLLER’s behalf, advances Customer funds against Transaction Funds that Customer has already earned but that have not yet completed settlement. Because those Transaction Funds have not yet settled at the time of an Instant CashOut Payout, Customer remains liable for them as set out in Section 7.0 below.
- 2.0 Eligibility and Enablement
- 2.1 Eligibility. Eligibility for Instant CashOuts is not automatic and is not guaranteed for any Customer. Before enabling Instant CashOuts for Customer’s account, ROLLER will generally require that Customer’s account: (a) has been actively processing transactions through the RPP Services for at least 30 days; (b) is in good standing; and (c) is located in a country or region for which Instant CashOuts is available. Satisfaction of these baseline requirements does not guarantee eligibility. ROLLER applies additional risk-based criteria, which ROLLER does not disclose and which may change at any time, to determine whether to make Instant CashOuts available to Customer’s account and whether to permit any specific Instant CashOut Request. ROLLER may decline to offer, or may suspend, restrict, or revoke, Customer’s access to Instant CashOuts at any time, with or without notice, in ROLLER’s sole discretion.
- 2.2 Acceptance of these CashOut Terms. Customer must accept these CashOut Terms before Instant CashOuts is enabled for Customer’s account. ROLLER will retain a record of Customer’s acceptance, including the version accepted and the date and time of acceptance, for as long as Instant CashOuts remains enabled for Customer’s account and for a reasonable period thereafter.
- 3.0 Submitting an Instant CashOut Request
- 3.1 Confirmation Required. Before Customer confirms an Instant CashOut Request, ROLLER will display to Customer: (a) the amount requested; (b) the Fee (as defined in Section 4.1) applicable to that Instant CashOut Request; (c) the net amount Customer will receive; and (d) the Linked Payment Instrument (as defined in Section 5.1) to which the Instant CashOut Payout will be sent. Customer must take a separate, affirmative action to confirm each Instant CashOut Request, and acceptance of these CashOut Terms does not, by itself, authorize any Instant CashOut Request.
- 3.2 Frequency and Amount. Customer may submit multiple Instant CashOut Requests, provided that the cumulative amount requested does not exceed the Payout Limit. Unless and until ROLLER establishes a minimum amount as described below, there is no minimum amount for an Instant CashOut Request. ROLLER reserves the right to establish a minimum amount for an Instant CashOut Request at any time, in ROLLER’s sole discretion, including to account for fixed third-party costs associated with processing an Instant CashOut Payout.
- 3.3 Payout Limits. ROLLER will set a maximum cumulative amount that Customer may request through Instant CashOuts during a period designated by ROLLER (daily, weekly, monthly, or such other period as ROLLER may determine) (each, a “Payout Limit”). Customer’s current Payout Limit or Payout Limits, and the period or periods to which they apply, will be displayed within ROLLER Venue Manager. ROLLER may establish, remove, or change the period to which a Payout Limit applies, increase, decrease, or otherwise change any Payout Limit, or apply different Payout Limits or periods to different Customers, at any time and in ROLLER’s sole discretion, including based on ROLLER’s assessment of risk. More than one Payout Limit may apply to Customer’s account at the same time, in which case Customer must satisfy all applicable Payout Limits.
- 3.4 Irrevocability. Once Customer confirms an Instant CashOut Request, it cannot be canceled, recalled, or reversed by Customer.
- 4.0 Fees
- 4.1 Fee. ROLLER charges a fee for each Instant CashOut Payout (the “Fee”), which is deducted from the amount of the Instant CashOut Payout before the net amount is disbursed to Customer. The Fee applicable to Customer’s account, and to each specific Instant CashOut Request, will be displayed within ROLLER Venue Manager before Customer confirms the request. The Fee may vary over time, and ROLLER may apply different Fees to different Customers or in different regions.
- 4.2 Taxes. Notwithstanding Section 9.2 of the Master Terms, where applicable, the Fee displayed to Customer within ROLLER Venue Manager is inclusive of GST or VAT. Sales and use taxes applicable to the Services will be in addition to the Fee displayed and set out at the Merchant Statement within ROLLER Venue Manager.
- 5.0 Linked Payment Instrument
- 5.1 Linked Payment Instrument. An Instant CashOut Payout may only be sent to a bank account (a “Linked Payment Instrument”) that: (a) is held in the name of the account holder associated with Customer’s ROLLER account; and (b) has been verified by ROLLER or Adyen. ROLLER will not send an Instant CashOut Payout to any other account, card, or payment instrument, including a prepaid card.
- 6.0 Timing
- 6.1 No Guarantee. ROLLER aims to make Instant CashOut Payout funds available to Customer’s Linked Payment Instrument within minutes of a confirmed Instant CashOut Request. An Instant CashOut Payout is typically, though not always, delivered on this basis, and ROLLER does not guarantee any specific delivery time. The timing of an Instant CashOut Payout depends on third parties outside ROLLER’s control, including banks and payment networks, and ROLLER is not liable for any delay caused by events outside ROLLER’s reasonable control, including the Customer’s Linked Payment Instrument not accepting an Instant CashOut Payout, bank or network outages or events of force majeure.
- 7.0 Liability for Reversed and Unsettled Transactions; ROLLER’s Discretion
- 7.1 Customer Liability. An Instant CashOut Payout accelerates Customer’s access to Transaction Funds that have not yet completed settlement. If any transaction underlying an Instant CashOut Payout is later reversed, disputed, charged back, refunded, found to be fraudulent, or otherwise fails to settle for any reason, Customer is fully liable for the corresponding amount, regardless of whether Customer has already used or withdrawn the funds.
- 7.2 Recovery. ROLLER may recover amounts owed by Customer under Section 7.1 by: (a) deducting such amounts from Customer’s current or future Transaction Funds or other funds otherwise payable to Customer; (b) offsetting such amounts against any other amounts ROLLER owes Customer; (c) applying such amounts against any Reserve established with respect to Customer’s account; or (d) where a negative balance on Customer’s account is significant or continuing, debiting Customer’s Linked Payment Instrument or any other bank account or payment method on file for Customer’s account. Customer grants ROLLER a continuing authorization to initiate electronic debit entries against Customer’s Linked Payment Instrument, via the applicable clearing network (including NACHA in the United States, BECS in Australia, and Bacs in the United Kingdom, or the equivalent local clearing system), for amounts owed under Section 7.1.
- 7.3 ROLLER’s Discretion. ROLLER may delay, decline, freeze, or reverse an Instant CashOut Payout, or suspend or revoke Customer’s access to Instant CashOuts, at any time, including where ROLLER suspects fraud, where a dispute or chargeback has been raised against a related transaction, for anti-money laundering or other compliance reasons, or where Transaction Funds underlying an Instant CashOut Payout have not settled or fail to settle to ROLLER or Adyen. ROLLER may take these actions even with respect to Customers that have previously and consistently used Instant CashOuts without incident.
- 8.0 Liability and Indemnification
- 8.1 The disclaimers, limitations on liability, and indemnification obligations set forth in the RPP Terms and the ROLLER Master Terms apply to these CashOut Terms. In addition to, and without limiting, the foregoing, Sections 7.1 through 7.3 above set out ROLLER’s rights specific to Instant CashOuts.
- 9.0 Changes to these CashOut Terms
- 9.1 Notwithstanding Section 11.10 of the Master Terms, changes to the Fee, the Payout Limit, and ROLLER’s eligibility criteria under these CashOut Terms take effect as set out in this Section 9.0. ROLLER may update these CashOut Terms, including the Fee, the Payout Limit, and its eligibility criteria, at any time. ROLLER will notify Customer of changes by posting updated CashOut Terms, by email, or within ROLLER Venue Manager. Changes take effect when posted or notified unless ROLLER states otherwise, and Customer’s continued use of Instant CashOuts after that point constitutes Customer’s acceptance of the updated CashOut Terms. If ROLLER makes a change that materially increases Customer’s liability or reduces the protections available to Customer under these CashOut Terms, ROLLER will require Customer to affirmatively re-accept the updated CashOut Terms before Customer may continue to use Instant CashOuts.
- 10. Precedence
- 10.1 These CashOut Terms constitute Supplemental Terms under the Master Terms. If there is a conflict between these CashOut Terms and the RPP Terms or the Master Terms with respect to Instant CashOuts specifically, these CashOut Terms control, consistent with the order of precedence set out in Section 11.2 of the Master Terms.
