Advanced Channel Management Supplemental Terms
Version 1.0. Effective 1st October 2026.
These Supplemental Terms are Supplemental Terms as defined in and incorporated into the ROLLER Master Terms of Service (“Master Terms”) between Customer and ROLLER. Advanced Channel Management is the umbrella under which ROLLER offers two separate products, OTA and Reseller Portal. These Supplemental Terms consist of two separate parts, Part 1 (OTA) and Part 2 (Reseller Portal), each governing a separate product. A part applies to Customer only if Customer activates the corresponding product, and Customer's acceptance of one part does not constitute acceptance of the other. Capitalized terms not defined in a given part have the meanings given to them in the Master Terms or the applicable Order Form.
PART 1: OTA
This Part 1 applies to Customer's use of OTA, ROLLER's integrations with certain third-party booking channels listed at https://www.roller.software/integrations?f_categories=channel-management (as updated from time to time).
-
- 1. Definitions
- 1.1 “Channel Management Fee” means the fee payable by Customer to ROLLER, calculated as a percentage of Gross Third Party Revenue, as described in Section 3.
- 1.2 “Gross Third Party Revenue” or “GTPR” means the total revenue that is, or should reasonably be, recognized by Customer in accordance with applicable accounting standards from Third Party Channel Bookings, before the deduction of any costs of service, including, but not limited to, fees, charges, or commissions payable to a Third Party Channel or any other third party.
- 1.3 “Guest” means an end customer of Customer who books or purchases admission, tickets, memberships, or other products or services offered by Customer through a Third Party Channel.
- 1.4 “Third Party Channel” means a third-party booking channel listed at the URL set forth above (as updated from time to time), through which bookings made by Guests automatically appear in the ROLLER Platform (each, a “Third Party Channel Booking”, and collectively, the “Third Party Channel Bookings”).
- 2. Access
- 2.1 Availability. ROLLER will provide Customer with access within Customer’s instance of the ROLLER Platform to integrations with Third Party Channels. ROLLER may add or remove Third Party Channels from the list at the URL set forth above from time to time.
- 3. Fees
- 3.1 Channel Management Fee. Customer will pay ROLLER the Channel Management Fee on GTPR. Unless Customer has an Order Form specifying a different Channel Management Fee rate, the Channel Management Fee is the standard rate published on ROLLER’s pricing and packaging page at https://www.roller.software/pricing , as ROLLER may update from time to time. If Customer’s Order Form specifies a different Channel Management Fee rate, that rate applies to Customer notwithstanding the rate published on ROLLER’s pricing and packaging page, for so long as that Order Form remains in effect.
- 3.2 Calculation and Invoicing. ROLLER will calculate the Channel Management Fee based on GTPR as recorded by the ROLLER platform and will invoice Customer monthly in arrears in accordance with the Master Terms or the applicable Order Form.
- 3.3 Post-Term GTPR. Notwithstanding the foregoing, any GTPR from Third Party Channel Bookings that are made during the Order Term but not redeemed before the expiry of the Order Term (the “Post-Term GTPR”) will be deemed to have been recognized on the final day of the Order Term. ROLLER will determine any Post-Term GTPR based on the transactional data available from the relevant Third Party Channels as at the final day of the Order Term, and will include all Post-Term GTPR in the calculation of the Channel Management Fee for the final month of the Order Term, invoiced in arrears following the end of the Order Term.
- 3.4 Migrated Bookings. GTPR includes revenue recognized from Third Party Channel Bookings that were originally made before the Order Term through a third-party platform Customer previously used, and that were subsequently imported or migrated into the ROLLER Platform in connection with Customer’s onboarding, regardless of when the underlying booking was first made or any fee Customer already paid to that prior third-party platform in connection with that booking.
- 4. Third Party Channel Relationship and Disclaimers
- 4.1 Customer Relationship with Third Party Channels. Customer acknowledges and agrees that its relationship with each Third Party Channel is governed by a separate agreement between Customer and that Third Party Channel. Customer is solely responsible for entering into and maintaining such agreements and for paying any and all fees and commissions due to the relevant Third Party Channel.
- 4.2 No Liability for Third Party Channels. ROLLER does not act as agent, reseller, or guarantor for any Third Party Channel and accepts no responsibility for a Third Party Channel’s performance or compliance, and makes no guarantee of the continued availability of any particular Third Party Channel.
- 4.3 Data Reliance. ROLLER relies on transactional data provided by Third Party Channels. ROLLER does not warrant the accuracy or completeness of such data and disclaims any liability for discrepancies between the data transmitted by a Third Party Channel and Customer’s internal records.
- 5. Data Rights and Audit
- 5.1 Data Rights. Customer grants ROLLER the right to access, collect, retain, and use any data reasonably necessary for ROLLER to calculate, verify, and audit the Channel Management Fee, including data from Third Party Channels, ROLLER’s own systems and integrations, and Customer’s own business records relating to Third Party Channel Bookings.
- 5.2 Audit Right. ROLLER may, acting reasonably, request that Customer provide, or that ROLLER or its representative examine, Customer’s records reasonably necessary to verify GTPR, including records substantiating revenue recognized from Third Party Channel Bookings. ROLLER will not exercise this right more frequently, or in a more intrusive manner, than is reasonably necessary for that purpose, and Customer will cooperate in good faith with any such request.
- 5.3 Data Processing. Any processing of personal data under this Section 5 is subject to ROLLER’s Data Processing Agreement.
- 6. General Liability
- 6.1 Incorporation of Master Terms. The disclaimers, limitations on liability, and indemnification obligations set forth in the Master Terms apply to this Part 1. This Section 6 is in addition to, and does not limit, the foregoing.
- 6.2 No Third Party Liability. ROLLER is liable only for its own acts or omissions and not for the acts or omissions of any Third Party Channel or other third party, except to the extent caused by ROLLER’s gross negligence or willful misconduct.
- 7. General
- 7.1 Order of Precedence. In the event of a conflict between this Part 1 and the Master Terms with respect to OTA, this Part 1 controls. In the event of a conflict between this Part 1 and an Order Form with respect to the Channel Management Fee rate, the Order Form controls.
- 7.2 Modifications. ROLLER may update this Part 1 from time to time in accordance with the modification provisions of the Master Terms.
- 7.3 Records of Acceptance. ROLLER will maintain a record of the date, time, and user who accepted this Part 1 on behalf of Customer within the ROLLER platform.

PART 2: RESELLER PORTAL
This Part 2 applies to Customer’s use of the Reseller Portal, a ROLLER application that allows Customer to authorize third parties to access the ROLLER Platform directly to make bookings on behalf of their own customers.
-
- 1. Definitions
- 1.1 “Guest” means an end customer of Customer who books or purchases admission, tickets, memberships, or other products or services offered by Customer through the Reseller Portal.
- 1.2 “Reseller” means a third party that Customer authorizes to access the Reseller Portal to make bookings on behalf of the Reseller’s own customers at Customer’s venue(s), such as a travel agent, tour operator, hotel, concierge service, or similar third party.
- 1.3 “Reseller Portal Fee” means the fee payable by Customer to ROLLER, calculated as a percentage of Reseller Portal Revenue, as described in Section 3.
- 1.4 “Reseller Portal Revenue” means the total revenue that is, or should reasonably be, recognized by Customer in accordance with applicable accounting standards from Reseller Portal Bookings, before the deduction of any costs of service, including, but not limited to, fees, charges, or commissions payable to a Reseller or any other third party.
- 1.5 “Reseller Portal Booking” means a booking made by a Guest through the Reseller Portal (collectively, “Reseller Portal Bookings”).
- 2. Activation and Access
- 2.1 Activation. Customer may activate the Reseller Portal within Venue Manager, subject to ROLLER making the Reseller Portal available to Customer’s account. ROLLER may phase the availability of the Reseller Portal and is not obligated to make it available to Customer at any particular time.
- 2.2 Reseller Access. Customer is solely responsible for identifying, authorizing, and managing the Resellers to whom Customer grants access to the Reseller Portal, including determining which individuals at each Reseller are authorized to log in. Customer represents and warrants that it has all necessary rights and authority to grant such access to each Reseller.
- 2.3 Credential Use. Customer acknowledges that Reseller Portal login credentials are intended for use by a single authorized individual and that Customer is responsible for a Reseller’s use of, and failure to safeguard, any login credentials or access issued in connection with Customer’s account, including where a Reseller shares login credentials or a single email address among multiple individuals. ROLLER is not responsible for verifying the identity of any individual who accesses the Reseller Portal using credentials or access issued in connection with Customer’s account.
- 3. Fees
- 3.1 Reseller Portal Fee. Customer will pay ROLLER the Reseller Portal Fee on Reseller Portal Revenue. Unless Customer has an Order Form specifying a different Reseller Portal Fee rate, the Reseller Portal Fee is the standard rate published on ROLLER’s pricing and packaging page at https://www.roller.software/pricing , as ROLLER may update from time to time. If Customer’s Order Form specifies a different Reseller Portal Fee rate, that rate applies to Customer notwithstanding the rate published on ROLLER’s pricing and packaging page, for so long as that Order Form remains in effect.
- 3.2 Calculation and Invoicing. ROLLER will calculate the Reseller Portal Fee based on Reseller Portal Revenue as recorded by the ROLLER platform and will invoice Customer monthly in arrears in accordance with the Master Terms or the applicable Order Form.
- 3.3 Post-Term Reseller Portal Revenue. Notwithstanding the foregoing, any Reseller Portal Revenue from Reseller Portal Bookings that are made during the Order Term but not redeemed before the expiry of the Order Term (the “Post-Term RPR”) will be deemed to have been recognized on the final day of the Order Term. ROLLER will determine any Post-Term RPR based on the transactional data available from the Reseller Portal as at the final day of the Order Term, and will include all Post-Term RPR in the calculation of the Reseller Portal Fee for the final month of the Order Term, invoiced in arrears following the end of the Order Term.
- 3.4 Migrated Bookings. Reseller Portal Revenue includes revenue recognized from Reseller Portal Bookings that were originally made before the Order Term through a third-party platform Customer previously used, and that were subsequently imported or migrated into the ROLLER Platform in connection with Customer’s onboarding, regardless of when the underlying booking was first made or any fee Customer already paid to that prior third-party platform in connection with that booking.
- 4. Relationship with Resellers
- 4.1 Customer Relationship with Resellers. The Reseller Portal enables Customer to authorize Resellers to make bookings on behalf of their own customers. Customer, and not ROLLER, determines the commercial terms, if any, between Customer and each Reseller, including any pricing, commission, or minimum resale price terms. ROLLER is not a party to, and has no responsibility for, any agreement or arrangement between Customer and a Reseller.
- 4.2 No Liability for Reseller Conduct. ROLLER is not responsible for, and disclaims all liability arising from, any act or omission of a Reseller, including a Reseller’s misuse of the Reseller Portal, a Reseller’s bookings on behalf of its customers, any dispute between Customer and a Reseller, or any dispute between a Reseller and its own customers.
- 4.3 Reseller Acceptance. ROLLER will require each Reseller to accept ROLLER’s Reseller Terms of Use before that Reseller is permitted to access the Reseller Portal. The Reseller Terms of Use governs the relationship between ROLLER and the Reseller directly and does not modify Customer’s obligations under this Part 2.
- 4.4 Customer Indemnity. In addition to, and without limiting, Customer’s indemnification obligations under the Master Terms, Customer will indemnify, defend, and hold harmless ROLLER from and against any and all losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to a Reseller’s access to or use of the Reseller Portal, Customer’s authorization of a Reseller, or any dispute between Customer and a Reseller, except to the extent arising from ROLLER’s gross negligence or willful misconduct.
- 5. Data Rights and Audit
- 5.1 Data Rights. Customer grants ROLLER the right to access, collect, retain, and use any data reasonably necessary for ROLLER to calculate, verify, and audit the Reseller Portal Fee, including data generated through the Reseller Portal, data provided by a Reseller under the Reseller Terms of Use, and Customer’s own business records relating to Reseller Portal Bookings.
- 5.2 Audit Right. ROLLER may, acting reasonably, request that Customer provide, or that ROLLER or its representative examine, Customer’s records reasonably necessary to verify Reseller Portal Revenue, including records substantiating revenue recognized from Reseller Portal Bookings.
The disclaimers, limitations on liability, and indemnification obligations set forth in the Master Terms apply to this Part 2. This Section 6 is in addition to, and does not limit, the foregoing.
- 6.2 No Third Party Liability. ROLLER is liable only for its own acts or omissions and not for the acts or omissions of any Reseller or other third party, except to the extent caused by ROLLER’s gross negligence or willful misconduct.
- 6.3 Suspension. ROLLER may suspend Customer’s or a Reseller’s access to the Reseller Portal if ROLLER reasonably believes that continued access poses a security, legal, or operational risk to ROLLER, Customer, a Reseller, or a Guest, or if Customer or a Reseller breaches this Part 2.
- 7. General
- 7.1 Order of Precedence. In the event of a conflict between this Part 2 and the Master Terms with respect to the Reseller Portal, this Part 2 controls. In the event of a conflict between this Part 2 and an Order Form with respect to the Reseller Portal Fee rate, the Order Form controls.
- 7.2 Modifications. ROLLER may update this Part 2 from time to time in accordance with the modification provisions of the Master Terms.
- 7.3 Records of Acceptance. ROLLER will maintain a record of the date, time, and user who accepted this Part 2 on behalf of Customer within the ROLLER platform.
