RESELLER TERMS OF USE
Version 1.0. Effective 1st October 2026.
These Reseller Terms of Use (“Terms of Use”) are a binding agreement between the entity or individual accessing the Reseller Portal as a reseller (“Reseller,” “you,” or “your”) and the ROLLER entity identified in the table below (“ROLLER”), determined by reference to the location of the Venue (as defined below) that invited Reseller to access the Reseller Portal. Reseller is accessing the Reseller Portal at the invitation of a ROLLER customer (“Venue”) in order to make bookings on behalf of Reseller’s own customers at the Venue’s location(s). By accessing or using the Reseller Portal, Reseller agrees to these Terms of Use. If Reseller does not agree, Reseller must not access or use the Reseller Portal.

- 1. Relationship Between the Parties
- 1.1 Independent Relationship. ROLLER provides the Reseller Portal as a platform that the Venue uses to authorize Reseller’s access. Reseller’s commercial relationship, including pricing, commission, and any minimum resale requirements, is between Reseller and the Venue. ROLLER is not a party to that relationship and has no obligation to Reseller with respect to it.
- 1.2 No Employment or Agency. Nothing in these Terms of Use creates an employment, agency, joint venture, or partnership relationship between Reseller and ROLLER.
- 2. Access and Acceptable Use
- 2.1 Permitted Use. Reseller may access the Reseller Portal solely to make legitimate bookings on behalf of Reseller’s own customers at the Venue that authorized Reseller’s access, and for no other purpose.
- 2.2 Individual Credentials. Access to the Reseller Portal is issued to Reseller for use by specifically authorized individuals. Reseller will not share login credentials, one time passcodes, or any other means of access with any individual not authorized by Reseller to use the Reseller Portal, and will not permit multiple individuals to share a single email address or account in order to access the Reseller Portal. Reseller is responsible for all activity that occurs through access issued to Reseller, whether or not Reseller authorized that activity.
- 2.3 Prohibited Conduct. Reseller will not: (a) use the Reseller Portal for any unlawful purpose or in violation of any Venue’s policies made known to Reseller; (b) attempt to access data or bookings belonging to any other reseller or venue; (c) attempt to circumvent, disable, or interfere with the security of the Reseller Portal; (d) reverse engineer, decompile, or attempt to derive the source code of the Reseller Portal; (e) resell, sublicense, or otherwise provide access to the Reseller Portal to any third party; or (f) misrepresent Reseller’s identity or authority to make a booking on behalf of a customer.
- 2.4 Data Cooperation. Reseller will provide, and will cooperate in good faith with ROLLER’s reasonable requests for, data and records relating to Reseller Portal Bookings made by Reseller that ROLLER reasonably needs to calculate, verify, or audit fees payable to ROLLER by the Venue in connection with the Reseller Portal.
- 2.5 Suspension. ROLLER may suspend or terminate Reseller’s access to the Reseller Portal at any time, with or without notice, including at the request of the Venue or if ROLLER reasonably believes Reseller has violated these Terms of Use.
- 3. Disclaimers and Liability
- 3.1 As Is. The Reseller Portal is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, ROLLER disclaims all warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non infringement, and does not warrant that the Reseller Portal will be uninterrupted, secure, or error free.
- 3.2 No Liability for Venue or Guest Disputes. ROLLER is not responsible for, and disclaims all liability arising from, any dispute between Reseller and the Venue, any dispute between Reseller and Reseller’s own customers, or any booking, pricing, or availability decision made by the Venue.
- 3.3 Limitation of Liability. To the maximum extent permitted by applicable law, ROLLER’s aggregate liability to Reseller arising out of or related to Reseller’s access to or use of the Reseller Portal will not exceed zero dollars ($0), except to the extent applicable law requires a higher amount, and ROLLER will not be liable for any special, indirect, or consequential damages, including loss of profit, business, contracts, revenues, or anticipated savings.
- 3.4 Reseller Indemnity. Reseller will indemnify, defend, and hold harmless ROLLER, its directors, officers, employees, and representatives from and against any and all losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Reseller’s access to or use of the Reseller Portal, Reseller’s breach of these Terms of Use, or any claim by a customer of Reseller, except to the extent arising from ROLLER’s gross negligence or willful misconduct.
- 4. General
- 4.1 Modifications. ROLLER may update these Terms of Use from time to time. ROLLER will make the then current version available within the Reseller Portal, and Reseller’s continued use of the Reseller Portal after an update constitutes Reseller’s acceptance of the updated Terms of Use.
- 4.2 Records of Acceptance. ROLLER will maintain a record of the date, time, and individual who accepted these Terms of Use on behalf of Reseller.
- 4.3 Governing Law. These Terms of Use, and any dispute arising out of or relating to these Terms of Use or the Reseller Portal, are governed by the laws set forth in the table above, based on the location of the Venue that invited Reseller to access the Reseller Portal, and the parties submit to the exclusive jurisdiction of the courts identified in that table.
- 4.4 Entire Agreement. These Terms of Use are the entire agreement between Reseller and ROLLER regarding Reseller’s access to the Reseller Portal and supersede any prior or contemporaneous understanding on that subject.
